The National Institute of Securities Markets (NISM) is a public trust established in 2006 by the Securities and Exchange Board of India (SEBI), the regulator of the securities markets in India. The institute carries out a wide range of capacity building activities at various levels aimed at enhancing the quality standards in securities markets.

The School for Corporate Governance, of National Institute of Securities Markets (NISM) had conducted an Online Orientation Programme for Directors of Listed Companies on February 22, 2022.

The programme was aimed at sensitizing the members of Board of Directors of listed entities about their roles & responsibilities and also the liabilities attached to the Board level positions. Further, the programme deliberated on the area of boardroom dynamics, especially about the behavioural and cultural underpinnings.

Mr. M Krishnamoorthy, Programme Director & Member of Faculty, NISM. welcomed the dignitaries and the participating directors and key managerial personnel.

Dr. CKG Nair, Director, NISM, in his inaugural address spoke about the efficacy of legal centric approach in regulating the behaviour of individuals and also about the role of technology in effective implementation of regulations. Director-NISM also touched upon the ethical dilemma vs existential dilemma, which the Board members may have to face while making crucial decisions.

Mr. Amarjeet Singh, Executive Director, SEBI spoke at length about evolution of corporate governance in India and also about the importance of corporate governance in the present context, wherein the markets have attracted a larger retail participation. ED-SEBI also highlighted the recent regulatory measures taken by SEBI for building an ethical corporate culture and also dwelt upon the dichotomy between shareholder wealth maximization vs stakeholder approach.

Mr. R Gopalakrishnan, Chairman, Castrol India Ltd shared his insights on the role of Board, role of Board of directors and as well as on Board dynamics. He elaborated on the nine-approaches to Board Room decision making and the 7Ds on Boardroom dynamics. He also shared his thoughts on Experience vs Wisdom and also on the Mind Vs Intellect, in corporate decision making process.

Dr. V. R. Narasimhan, Dean, NISM gave an overview of statutory and regulatory perspectives on the Board and role and responsibilities of directors. He spoke at length about precautions to be taken when any director joins the board and the support system available for them to perform their duties

During the Q&A session, the Speakers addressed all the queries raised by the participating directors.

24 Directors from 11 listed companies attended the programme benefitted from the deliberations.

The programme concluded with a vote of thanks by Mr M Krishnamoorthy, Programme Director & Member of Faculty, NISM.
